1. Acceptance of Terms

By accessing or using the website clearpathtaxadvisors.com ("Site") or engaging the professional services of Clearpath Tax Advisors LLP ("Clearpath", "we", "our", "us"), you agree to be bound by these Terms and Conditions ("Terms") and our Privacy Policy. If you do not agree to these Terms, please do not use our Site or services. These Terms constitute a legally binding agreement between you and Clearpath Tax Advisors LLP. We reserve the right to update these Terms at any time. Continued use of the Site after any changes constitutes your acceptance of the new Terms.

2. Description of Services

Clearpath Tax Advisors LLP is a practicing Company Secretaries' firm registered in India providing professional services including but not limited to: • GST Registration and Return Filing (GSTR-1, GSTR-3B, GSTR-9, etc.) • Income Tax Return (ITR) Filing for individuals, businesses, and companies • Company/LLP/OPC Incorporation and ROC Compliance • MSME/Udyam Registration and Startup India Certification • Trademark and Digital Signature Certificate services • NGO/Trust Registration and FCRA Compliance • Trade Licenses including FSSAI, Shop Act, and Professional Tax • Import Export Code (IEC) and Export Certifications • Accounting, Bookkeeping, and Payroll Processing • Tax Planning and Compliance Advisory All services are rendered by qualified professionals in accordance with applicable Indian laws and professional standards.

3. Professional Engagement & Client Responsibilities

Engagement: Our professional engagement begins only upon mutual agreement through a formal service engagement, payment of fees (where applicable), and your submission of required documents. Accuracy of Information: You agree to provide accurate, complete, and up-to-date information required for the rendering of services. Clearpath shall not be liable for any errors, penalties, or adverse consequences arising from incorrect, incomplete, or misleading information provided by you. Document Submission: You are responsible for timely submission of all required documents and information. Delays caused by late or incomplete document submission may result in missed deadlines, for which Clearpath shall not be held responsible. Third-Party Portals: For services requiring access to government portals (Income Tax e-filing portal, GST Portal, MCA21, etc.), you authorize Clearpath to access these portals on your behalf using your credentials or as an authorized ERI/intermediary. Review Responsibility: Before submission to any government authority, you are responsible for reviewing all returns, filings, and documents prepared by Clearpath and notifying us of any discrepancies. Your approval (express or implied) constitutes acceptance of accuracy.

4. Fees and Payment Terms

Service Fees: Fees for our services are communicated upfront through a quotation or service agreement. Government fees, challan payments, stamp duties, and statutory charges are separate from our professional fees and will be billed at actuals. Payment: Professional fees are payable in advance or as per the agreed payment schedule. We accept payment via NEFT/RTGS/UPI/Cheque. Services may be withheld or suspended in case of non-payment. Refund Policy: Refunds are considered on a case-by-case basis. Once work has commenced, fees paid may be partially or non-refundable depending on the stage of work completed. Government fees and third-party charges are non-refundable under any circumstances. Any applicable GST on our fees is non-refundable. Late Payment: Outstanding invoices beyond 30 days may attract interest at 18% per annum. We reserve the right to suspend services for overdue accounts.

5. Intellectual Property

All content on this Site, including text, graphics, logos, icons, images, audio clips, and software, is the property of Clearpath Tax Advisors LLP and is protected under applicable Indian intellectual property laws. You may not reproduce, distribute, modify, transmit, reuse, download, repost, copy, or use said content, whether in whole or in part, for commercial purposes or for personal gain, without express advance written permission from Clearpath Tax Advisors LLP. Any templates, checklists, advisory documents, or proprietary content provided to you as part of our services are for your personal or business use only and may not be redistributed or resold.

6. Limitation of Liability

To the maximum extent permitted by applicable law, Clearpath Tax Advisors LLP, its partners, associates, employees, and agents shall not be liable for: • Any indirect, incidental, special, consequential, or punitive damages arising from your use of our services or Site • Any penalties, interest, or fines levied by tax authorities arising from information you provided that was inaccurate, incomplete, or misleading • Delays caused by government portal downtimes, system outages, or regulatory changes beyond our control • Loss of data resulting from circumstances beyond our reasonable control • Any claims arising from services rendered by third parties recommended by us Our total cumulative liability to you for any claims arising from our engagement shall not exceed the total professional fees paid by you to Clearpath for the specific service giving rise to the claim.

7. Confidentiality

Both parties agree to maintain the confidentiality of information shared during the professional engagement. Clearpath shall not disclose your financial or personal information to any third party except: • As required by law, court order, or regulatory authority • To government portals and authorities as part of the services rendered • To authorized employees and associates of Clearpath who need access to perform the services • With your explicit consent This confidentiality obligation shall survive the termination of our professional engagement for a period of 5 years.

8. Disclaimer of Warranties

The Site and its content are provided on an "as is" and "as available" basis. Clearpath makes no representations or warranties of any kind, express or implied, regarding the operation of the Site or the information, content, or materials on the Site. Tax laws and regulations are subject to frequent changes. While we strive to keep our advisory current, Clearpath does not warrant that all information on our Site reflects the most recent legal position. You should always seek specific professional advice before acting on any information obtained from this Site. Clearpath does not guarantee specific outcomes from government authorities with respect to registrations, approvals, or assessment orders, as these are at the sole discretion of the relevant authority.

9. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from or related to these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Faridabad, Haryana, India. In the event of a dispute, the parties agree to first attempt resolution through good-faith negotiation. If negotiation fails within 30 days, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, with a single arbitrator mutually agreed upon by the parties.

10. Termination

Either party may terminate the professional engagement by providing 7 days' written notice. Clearpath reserves the right to terminate the engagement immediately in cases of: • Non-payment of fees beyond the due date • Discovery that information provided by the client was knowingly false or misleading • Any request by the client to engage in illegal or unethical activities • Circumstances that create a conflict of interest Upon termination, you shall remain liable for fees for services rendered up to the termination date, and Clearpath shall return any documents or data provided by you that are in our possession.
